THIS AGREEMENT is made on the ____________ day between Cafe Coffee Day, the registered office of which is situated in Bangalore, Karnataka, India (hereinafter called “the Franchisor”) of the first part and of Mr. X (hereinafter called “the Franchisee”) of the second part
RECITALS:
1. ‘Cafe Coffee Day’ and ‘XYZ’ are parties to the Franchise Agreement. The Franchisor being ‘cafe Coffee Day’, with its headquarters located at the address, Bangalore, Karnataka, India. The Franchisee being XYZ.
2. The distinguishing characteristics of the Franchisor include, without limitation, the name "CAFE COFFEE DAY"; distinctive interior and exterior design and layouts, decor, colour schemes, and furnishings; confidential food formulae and recipes used in the preparation of food products, formulas and specifications for preparing specialty coffee drinks and other coffee and non-coffee-based products; specialized menus; standards and specifications for equipment, equipment layouts, products, operating procedures, and management programs, all of which may be changed, improved, and further developed by Franchisor from time to time.
3. The Franchisor ‘Cafe Coffee Day’, is an independent entity which has sells its franchises internationally. It specializes in making beverages, mainly focusing on coffee and its products. It has its own specific techniques and methods of preparing products and its ‘services’. The Franchisor owns patent rights over its services and techniques of producing the
